What exactly do you do for $39 a year?

We serve as your company’s registered agent in Utah: our street address goes on your public record as your registered office, we accept service of process and official state mail on your behalf during business hours, we scan and forward everything the same day it arrives, and we remind you before your annual renewal is due. The $39 is flat - it renews at $39.

Are you a commercial registered agent?

Yes. We’re listed with the Utah Division of Corporations and Commercial Code as a commercial registered agent under Utah Code § 16-17-204, which means state forms only need our name - no agent signature or address block required (Utah Code § 16-17-203).

Is my information confidential?

Yes. We keep client information strictly confidential and don’t sell it. If we’re ever served with a subpoena compelling disclosure, we verify it’s from an authorized source, disclose only what the law requires, and where lawful, consult the client first.

Can you be my registered agent in another state, like Oregon?

Accepted Answer

No, and we’re happy to say so out loud. We are Utah registered agents - quite literally. Utah is the whole job. Need an agent in Oregon? We can’t help you, and we won’t pretend otherwise. The giant national chains will gladly sell you all fifty states; we do one, on purpose, and we’d rather be the best in Utah than forgettable everywhere. So: Oregon, no. Utah, absolutely - it’s the entire reason we exist.

How do I switch to Utah Registered Agents?

Order service, and we take it from there: we prepare and file the state’s Registration Information Change Form naming us as your agent. The state charges $17 for a standalone change - or nothing if the change rides along with your annual renewal (Utah Code § 48-3a-212(5)).

We invoice $39 before your service year ends. If service ever lapses unpaid, we’re required to resign the appointment with the state, which can put your company on the path to administrative dissolution - so we send plenty of warning first.

Does my company really need a registered agent in Utah?

Accepted Answer

Yes. Utah LLCs must designate and maintain one (Utah Code § 48-3a-111), corporations must name one in their articles (Utah Code § 16-10a-202), and Utah even requires registered agents for DBA registrants (Utah Code § 42-2-5).

What happens if I don’t have a registered agent?

Accepted Answer

Two things, both bad. First, dissolution: an LLC without an agent for 60 consecutive days - or a corporation for 30 days - can be administratively dissolved after notice (Utah Code § 48-3a-708; § 16-10a-1420). Second, you can still be sued: if your agent can’t be found, Utah law lets plaintiffs serve your company by certified mail or by handing papers to whoever is in charge at your place of business (Utah Code § 16-17-301). The case proceeds whether or not you actually saw the papers.

What is service of process?

The formal delivery of legal documents - a summons, a complaint, a subpoena, a garnishment - that starts the clock on your company’s obligation to respond. Miss the deadline and the court can enter a default judgment against you. Receiving it promptly is the entire reason registered agents exist.

Do I need to pay someone to file my annual report?

Accepted Answer

No. Utah’s annual renewal is an $18 online filing that takes minutes, and the change-of-agent form is even free when filed with it (Utah Code § 48-3a-212(5)). We remind you before it’s due at no charge. Some services charge $100 or more to file that $18 form for you - read the fine print before you pay anyone to do it. That said, if you’d rather hand it off, we’re happy to help - you can file your renewal right through your account portal on our site.

When is my Utah annual report due?

LLCs: during your anniversary month each year - the Division mails notice to your registered agent 60 days ahead (Utah Code § 48-3a-212). Corporations: by the end of the second month after the Division mails the form (Utah Code § 16-10a-1607). Either way it’s $18, and either way the notice comes to us first - we make sure you never miss it.

How do I dissolve a Utah entity I no longer want?

File articles of dissolution with the Division of Corporations and wind up per your governing statute (Utah Code Title 48, Chapter 3a for LLCs; Title 16, Chapter 10a for corporations). Don’t just abandon it - the annual renewal obligation and the franchise tax minimum (for corporations) continue until you formally dissolve.
