These terms govern your use of utahregisteredagents.com and the registered agent service provided by UtahRegisteredAgents.com, LLC (“we,” “us”).

The service

We serve as your Utah commercial registered agent: we maintain a Utah street address as your registered office, accept service of process and official state correspondence on your company’s behalf during business hours, and forward what we receive to the contact information you keep current with us.

Your responsibilities

• Keep your forwarding contact information current. We are not responsible for documents you miss because your contact information was out of date.
• Pay the annual service fee when due. State fees are separate and are your responsibility.
• Use the service only for lawfully operating entities.

Fees and renewal

The registered agent service fee is stated at checkout and covers one year. Service renews annually; we will notify you before renewal. If the fee goes unpaid after notice, we may resign as your registered agent as Utah law allows, which can affect your company’s good standing.

Liability

Our total liability for any claim arising from the service is limited to the annual fee you paid for the service period in which the claim arose. We are not liable for consequential damages, including judgments or penalties resulting from documents we could not deliver because your contact information was not current.

Governing law

These terms are governed by the laws of the State of Utah, and any dispute belongs in the courts of Utah.
